Similarly, should something go wrong in your experience with us, we would like to hear about this too. Your opinion is important to us and we want to give you a voice which could help us shape the future of our company, as well as give us an opportunity to improve things, however big or small your suggestions might be.

IF YOU HAVE A COMPLAINT

Please email us at  info@domadiproperties.com, providing as much detail as you can. Let us know what the problem is, and how you’d like us to put things right.

We will acknowledge your email (this is usually within 5 working days) of receipt although during busy times may be longer).

We will then investigate your complaint. This may mean that we will ask you to provide more information, depending on your type of submission. This should take no longer than 14 days from the date we receive all relevant information, after which we will respond to you with a resolution.

If you’re still not happy, you can take your complaint to the Property Investors Mediation Service (PIMS).

If you’re not happy with the response you get – or if we fail to get back to you – you can ask for the PIMS to get involved. They provide mediation for property investors and property entrepreneurs.

OUR SOURCING TERMS & CONDITIONS

Agreed Terms
Interpretation

The following definitions and interpretative guidelines apply to this agreement:

Definitions:

  • "Business Day": Any day excluding Saturdays, Sundays, and public holidays in England, during which banks in London conduct regular business operations.

  • "Commencement Date": The starting date of this agreement.

  • "Finder’s Fee": A fee that must be fully paid through the provided payment link.

  • "Full Property Details": Comprehensive information about the property, usually provided in a PDF format, including details of the instructed agent or landlord.

  • "Packaged Deal": The property accompanied by its Full Property Details.

  • "Property": The specific property described within this agreement.

Headings: Section titles are for reference purposes only and do not affect the interpretation of the agreement.

Successors and Assigns: This agreement is binding upon and benefits the parties involved, as well as their successors, personal representatives, and permitted assigns. References to a party include these representatives and assigns.

Legislative References: References to laws or legislative provisions include any amendments, extensions, or re-enactments made over time.

Subordinate Legislation: Any reference to legislation includes applicable subordinate laws enacted periodically.

Writing: References to "writing" encompass emails but exclude faxes.

"Including": Phrases such as "including," "in particular," and similar terms are illustrative and do not restrict the broader interpretation of preceding terms.

Clauses: Any reference to clauses pertains to sections within this agreement.

Obligations of the Sourcer

  1. Packaged Deal Delivery: The Sourcer agrees to provide the Investor with the Full Property Details no later than three working days after the Commencement Date.

  2. Acting in Good Faith: The Sourcer must act in good faith at all times but will not be held accountable for any inaccuracies or errors in the information provided.

  3. Role Clarification: The Investor acknowledges that the Sourcer functions solely as a deal introducer and is not an agent for the Investor or the property vendor.

Obligations of the Investor

  1. Good Faith: The Investor is required to act in good faith toward the Sourcer at all times.

  2. Due Diligence:

    • The Investor is responsible for conducting all necessary due diligence to ensure the Property meets their needs.

    • The Investor confirms that they have evaluated their financial capacity to secure funding for acquiring the Property and covering related fees.

  3. Information Provision:

    • The Investor must provide the Sourcer with any requested documentation or information.

    • The Investor must comply with any due diligence procedures requested by the Sourcer or third parties.

 

Finder’s Fee

  1. Entitlement: The Sourcer is entitled to a Finder’s Fee for introducing the Investor to the Packaged Deal.

  2. Taxation: The Finder’s Fee excludes VAT, which the Investor must pay upon receiving a valid VAT invoice, if applicable.

  3. Payment Deadline: The Finder’s Fee must be paid on the Commencement Date via a bank account nominated by the Sourcer.

  4. Cooling-Off Period:

    • The Investor has 14 days from the Commencement Date to request a refund, provided they have not acted to acquire the Property or disclosed its details.

    • If the Investor violates these terms after requesting a refund, they forfeit the refund entitlement and must return any refunded amounts within five business days.

Confidentiality

  1. Non-Disclosure: Both parties must keep all business-related information confidential during the agreement and for five years afterward.

  2. Exceptions: Confidential information may be shared:

    • With personnel requiring access to fulfill obligations under this agreement.

    • As mandated by law or regulatory bodies.

  3. Return of Materials: Any confidential documents shared by the Sourcer must be returned to the Investor upon agreement termination.

Compliance

  1. Legal Adherence: Both parties must adhere to all relevant laws and regulations applicable to their activities.

  2. Anti-Money Laundering: The Investor must promptly provide any information required to comply with the Money Laundering Regulations 2017 or related checks.

Anti-Bribery

  1. Compliance: The Sourcer must comply with anti-corruption laws, including the Bribery Act 2010.

  2. Associated Persons: The Sourcer ensures that any associated persons comply with equivalent anti-bribery obligations.

Limitation of Liability

  1. Unlimited Liability: Liability exclusions do not apply to unlawful acts.

  2. Limitations:

    • Neither party is liable for loss of profit, goodwill, or indirect damages.

    • Liability for other losses is capped at the Finder’s Fee amount.

Termination

  1. Termination Rights: Either party may terminate the agreement immediately if the other:

    • Commits an irreparable breach.

    • Becomes insolvent or ceases business operations.
